Job Purpose:

To support the delivery and development of company secretarial and governance services to a portfolio of clients, ensuring statutory compliance under the Companies Act 2006 and related legislation. The role includes managing day-to-day workflows, supervising the team to ensure all deadlines met, and acting as a key point of contact for clients, colleagues, and external stakeholders.

Duties & Responsibilities

Client & Technical Responsibilities

  • Manage a portfolio of company secretarial clients, including UK private companies, groups, LLPs, and SMEs.
  •  Ensure timely and accurate compliance with statutory and regulatory requirements, including:
    • Annual Confirmations Statements
    • Maintenance of statutory registers
    • Share issue work
    • PSC compliance
  • Prepare and review company secretarial documentation, including;
    • Board and shareholder minutes and resolutions
    • Incorporations, dissolutions and restorations
    • Share allotments, transfers, reorganisations and dividends
    • Changes to directors, secretaries, registered offices, and articles
  • Submit filings via Companies House (including electronic filing) and maintain internal compliance calendars.
  • Provide practical guidance to clients on governance best practice and company law matters.
  • Assist with group reorganisations, corporate transactions, and due diligence exercises as required.

Team & Practice Management

  • Supervise, mentor and review the work of Company Secretarial Administrators.
  • Contribute to the development and improvement of internal processes, precedents and templates.
  • Support billing processes, WIP management and fee estimates.
    Compliance & Risk
  • Ensure adherence to internal policies, including AML/KYC procedures and data protection requirements.
  • Identify and escalate technical or risk issues where appropriate.
  • Maintain accurate client records in practice management systems.

Relationship Management

  • Liaise with HMRC, Companies House, banks, solicitors and other professional advisers.
  • Work collaboratively
  • Act as a key contact for clients, building strong professional relationships.

Requirements

  • Part-qualified or fully qualified member of ICSA / CGI (Chartered Governance Institute UK & Ireland), or equivalent demonstrable experience.
  • Strong working knowledge of UK company law, particularly the Companies Act 2006.
  • Understanding of company secretarial practice within a professional services or accountancy firm environment.

Experience

  • Experience managing a client portfolio and dealing directly with clients.
  • Proven experience of preparing and reviewing company secretarial documentation.
  • Experience of supervising or reviewing the work of junior staff.

  • Excellent attention to detail and accuracy.
  • Strong organisational skills with the ability to manage multiple deadlines.
  • Clear and professional written and verbal communication skills.
  • Confident using Companies House electronic filing systems.
  • Competent with Microsoft Office and company secretarial software.

  • Experience of supporting process improvements or service development.
  • Knowledge of governance best practice beyond statutory compliance.
